Removal of General Minimum Capital Requirements for Non-Trading Entities

The primary structural update under Act 1173 is the complete removal of general minimum foreign capital thresholds for non-trading business entities. Previously, foreign investors faced mandatory equity floors of $200,000 for joint ventures and $500,000 for wholly foreign-owned operations. Under the new law, non-resident business owners incorporating service providers, technology startups, or consultancy firms can register without providing upfront equity capital proofs.

For enterprises engaged in general commercial trading, the minimum cash equity requirement has been cut from $1,000,000 down to $500,000. These capital adjustments allow foreign parent groups to deploy operational liquidity efficiently without locking excess equity capital into local corporate accounts during early-stage setup.

Streamlined Registration Timelines and Mandatory GIPA Certificates

Under the modernized regulatory framework, GIPA guarantees an accelerated five-day processing window for issuance of the mandatory investment registration certificate. Foreign investors must first complete formal incorporation with the Office of the Registrar of Companies (ORC) to secure a corporate registration certificate, statutory Tax Identification Number (TIN), and legal office address.

Once local entity incorporation is completed, the GIPA registration certificate is issued under an annual renewal cycle. In addition, all foreign trading enterprises must satisfy a mandatory local employment obligation, maintaining at least 75% skilled Ghanaian personnel within their payroll structure. All cross-border technology-transfer agreements must also be formally registered with GIPA to protect tax deductions on outbound management fees and IP royalties.

Key Differences in Setup Options

Incorporating a non-trading limited liability company under the updated GIPA framework allows foreign investors to establish 100% foreign-owned operating subsidiaries without minimum capital hurdles while gaining direct access to five-year expatriate quotas. Conversely, operating a commercial trading company requires meeting the $500,000 equity threshold, fulfilling the 75% local skilled workforce quota, and completing annual statutory GIPA permit renewals.
