Alongside the development of the Glo-Djigbé Special Economic Zone (GDIZ), Benin is positioning itself as an emerging platform for industrial production, value-added exports, and regional trade. 

For multinational corporations, engineering groups, and institutional investors, entering West Africa through Benin requires a corporate structure designed to support local operations, regulatory compliance, and long-term regional expansion. 

Navigating Company Incorporation & Entity Selection 

Foreign investors establishing operations in Benin must select an appropriate corporate structure under the Organization for the Harmonization of Business Law in Africa (OHADA) framework. 

Depending on the nature and scale of the investment, structures such as a Société à Responsabilité Limitée (SARL) or Société Anonyme (SA) may be used as local operating companies or, where appropriate, special-purpose vehicles (SPVs). 

The choice of entity can influence corporate governance, management arrangements, financing flexibility, and the ability to accommodate future investors or institutional capital.

Businesses seeking to operate within the GDIZ or other applicable special economic zones should assess the requirements for local corporate presence, licensing, investment approvals, and eligibility for available incentives. 

Depending on the activity, this may involve establishing an appropriate local entity, maintaining a registered office, appointing directors or representatives where required, and obtaining the relevant commercial or industrial authorisations. 

Investors should also assess applicable tax, customs, employment, environmental, and sector-specific requirements before commencing operations.
